Terms of Service

1. Acceptance of Terms
By creating an account or using the StdioX Comms Service (the "Service"), you ("User", "you") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and StdioX Labs ("StdioX", "Company", "we").
2. Description of Service
StdioX Comms is a cloud-based communications platform enabling users to send bulk SMS messages and emails via a web portal and REST API. The Service operates on a credit-based model: users purchase credits which are consumed upon successful message delivery or transmission attempt.
3. Account Registration
You must provide accurate, complete, and current information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately at support@stdiox.com of any unauthorized access or security breach. We reserve the right to suspend or terminate accounts with inaccurate or misleading registration information.
4. Credits and Payment
4.1 Credit System. The Service operates on a prepaid credit system. Credits are purchased in advance and consumed as messages are sent. Credit consumption rates are published at stdiox.com/credits and may be updated with 30 days' notice.
4.2 No Subscription. There are no recurring subscription fees. You pay only for credits purchased.
4.3 No Refunds. All credit purchases are final and non-refundable. Unused credits do not expire and may be used at any time. We are not obligated to refund credits for messages that fail to deliver due to factors beyond our control, including invalid recipient numbers, network carrier issues, or recipient opt-outs.
4.4 Payment. Payments are processed securely through our payment partners. You authorize us to charge your designated payment method for credit purchases. All prices are listed in Kenyan Shillings (KES) unless otherwise stated.
4.5 Taxes. Prices do not include applicable taxes. You are responsible for all taxes, duties, and levies arising from your use of the Service.
5. Acceptable Use
You agree not to use the Service to:
- Send unsolicited commercial messages (spam) in violation of applicable laws including the Kenya Information and Communications Act, CAN-SPAM Act, GDPR, or any other applicable anti-spam legislation
- Transmit content that is illegal, defamatory, threatening, harassing, obscene, or fraudulent
- Send messages to recipients who have not consented or who have opted out of receiving communications from you
- Impersonate another person, company, or entity
- Distribute malware, phishing content, or other malicious material
- Engage in mass messaging that violates carrier guidelines or causes network congestion
- Use the Service for emergency alerting services or as a substitute for emergency services
- Circumvent any rate limits, access controls, or security measures
- Resell or sublicense the Service without express written permission from StdioX
Violation of this section may result in immediate account suspension, credit forfeiture, and legal action.
6. Message Content and Compliance
6.1. You are solely responsible for the content of all messages sent through the Service and for ensuring compliance with all applicable laws and regulations in the sender's and recipient's jurisdictions.
6.2. You must maintain documented evidence of recipient consent for marketing messages and must honor opt-out requests within 10 business days.
6.3. StdioX reserves the right, but not the obligation, to review message content and campaigns. We may suspend sending of campaigns we believe violate these Terms, applicable law, or carrier guidelines, without prior notice.
6.4. You indemnify StdioX against any claims, damages, or expenses arising from your message content or messaging practices.
7. API Use
7.1. API credentials are issued for your sole use and may not be shared or transferred.
7.2. You must implement reasonable security measures to protect API credentials. StdioX is not liable for unauthorized use resulting from your failure to secure credentials.
7.3. You must not use the API in a manner that exceeds reasonable usage, attempts to reverse-engineer the Service, or degrades service for other users.
7.4. We reserve the right to rate-limit or suspend API access for abuse.
8. Intellectual Property
All intellectual property in the Service, including software, APIs, documentation, trademarks, and content created by StdioX, remains the exclusive property of StdioX Labs. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. Nothing in these Terms transfers ownership of any intellectual property.
9. Data Ownership
You retain all ownership of data you upload, including contact lists and message content. By using the Service, you grant StdioX a limited license to process such data solely to provide the Service. We do not claim ownership of your data.
10. Service Availability
We target 99.9% monthly uptime for the core messaging API. Scheduled maintenance will be communicated in advance. StdioX is not liable for downtime caused by factors outside our control, including third-party carrier outages, infrastructure failures, DDoS attacks, or force majeure events. Service credits may be issued for downtime exceeding our SLA thresholds at our discretion.
11. Limitation of Liability
IN NO EVENT SHALL STDIOX'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO STDIOX IN THE 3 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless StdioX, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your message content; (d) your violation of any applicable law; or (e) your infringement of any third-party rights.
13. Termination
StdioX may suspend or terminate your account at any time for violation of these Terms, non-payment, legal requirements, or at our discretion with 30 days' notice except in cases of serious violation. You may terminate your account at any time via account settings or by contacting support. Upon termination, your data will be retained per our Privacy Policy and then deleted.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of Kenya. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Nairobi Centre for International Arbitration rules. Nothing prevents StdioX from seeking injunctive relief in any court of competent jurisdiction.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide 14 days' notice of material changes via email. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to the changes, you must stop using the Service before the effective date.
16. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and StdioX regarding the Service and supersede all prior agreements and understandings.
